Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at sonoma-system.com and the Sonoma service (the "Service"), operated by Mihaela Micovska, based in Skopje, North Macedonia ("Sonoma," "we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Sonoma is a software-as-a-service platform that provides AI-powered marketing employees ("AI Employees") for Shopify merchants. AI Employees perform marketing tasks including content planning, social media posting, influencer outreach, advertising operations, and email marketing, subject to the boundaries and approval requirements you configure.

Sonoma is a software platform. Sonoma is not a marketing agency, marketing consultancy, or managed service. AI Employees are software systems, not human employees of Sonoma. Sonoma does not guarantee any specific marketing outcome, revenue increase, or business result.

2. Eligibility and accounts

You must be at least 18 years old and authorized to bind any business you represent. You are responsible for the accuracy of registration information and for all activity under your account. Keep your credentials confidential. Notify us at info@sonoma-system.com if you suspect unauthorized access.

3. Subscription and payment

The Service is offered on a subscription basis. Pricing is published on the Service and may be updated with 30 days' notice for existing subscribers.

Payments are processed by Lemon Squeezy as merchant of record. By subscribing, you authorize recurring billing on the cycle you select (monthly or annual). You are responsible for taxes that apply to your jurisdiction, except those based on Sonoma's net income.

Your subscription renews automatically until cancelled. You may cancel at any time from your dashboard or by emailing info@sonoma-system.com. Cancellation takes effect at the end of the current billing period.

4. Refunds

We offer a 14-day refund window from the date of your initial subscription charge. To request a refund, email info@sonoma-system.com within 14 days. Refunds are processed within 5 business days.

After the 14-day window, fees are non-refundable. We do not pro-rate refunds for partial months. If you cancel mid-cycle, you retain access until the period ends.

5. Your responsibilities

You are responsible for:

  • The data and content you provide to the Service
  • The actions you authorize AI Employees to take
  • The third-party platforms you connect (Shopify, Instagram, TikTok, Meta Ads, Klaviyo, and others)
  • Compliance with the terms of those platforms
  • Ad spend, payment commitments to influencers, emails sent to your audience, and other actions executed under your approval
  • Reviewing AI Employee outputs before approving actions that involve money, public statements, or commitments to third parties
  • Maintaining accurate billing information

You acknowledge that AI Employees can make mistakes. The Service includes approval gates for actions involving spending, public communication, or third-party commitments. You agree to use these gates and to review actions before approving them.

6. Approval levels

The Service operates with three approval levels:

  • Level 1 (automatic): Analysis, reporting, content drafting, data review.
  • Level 2 (notify and execute): Standard operational actions where Sonoma notifies you and proceeds unless you object within a defined window.
  • Level 3 (explicit approval required): Actions involving payment, ad spend increases, audience-wide messaging, or commitments to third parties.

You configure these levels during onboarding and can adjust them at any time. You are responsible for actions executed under any level you have authorized.

7. Acceptable use

You may not use the Service to:

  • Violate laws, third-party rights, or platform terms (including Shopify, Instagram, TikTok, Meta, and Klaviyo)
  • Send spam, deceptive content, or unlawful communications
  • Process content that infringes intellectual property, defames, or harasses
  • Attempt to reverse-engineer, scrape, or interfere with the Service
  • Resell or sublicense the Service without our written consent

8. Intellectual property

Sonoma and its licensors own the Service, including all software, designs, and content provided by us. You retain ownership of content you provide ("Customer Content"). You grant Sonoma a worldwide, non-exclusive license to use Customer Content solely to operate and improve the Service.

You grant Sonoma permission to use anonymized, aggregated data derived from your usage to improve the Service. We will not publish customer-identifiable case studies without your prior written consent.

9. Third-party services

The Service integrates with third-party platforms. Your use of those platforms is governed by their terms. We are not responsible for third-party services, their availability, or their actions.

10. AI output

AI Employees generate content and recommendations using machine learning models. AI output may contain errors, inaccuracies, or content that does not match your brand. You are responsible for reviewing AI output before publishing or executing it. We make no warranty that AI output will be accurate, complete, or fit for any particular purpose.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL PRODUCE ANY SPECIFIC RESULT, INCLUDING REVENUE OR ENGAGEMENT INCREASES.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONOMA AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.

These limitations apply even if a remedy fails its essential purpose.

13. Indemnification

You agree to indemnify and hold Sonoma harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Content, your violation of these Terms, or your violation of third-party rights or laws.

14. Suspension and termination

We may suspend or terminate your access if you breach these Terms, if your account becomes a security or legal risk, if your payment fails, or if you misuse the Service. We will provide notice when reasonably possible.

You may terminate by cancelling your subscription. Termination does not entitle you to a refund except as provided in Section 4.

15. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes to the Terms will be announced by email or in-product notice with at least 30 days' notice before they take effect. Continued use after the effective date constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of North Macedonia, without regard to conflict of law principles. Any dispute will be resolved in the courts of Skopje, North Macedonia, except that either party may seek equitable relief in any court of competent jurisdiction.

17. Miscellaneous

These Terms are the entire agreement between you and Sonoma regarding the Service. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale.
